Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your use of the StratStack platform operated by Incubate & Innovate Limited ("we", "us", "our"), a company registered in England and Wales. By accessing or using StratStack, you agree to be bound by these Terms.
2. Definitions
- "Platform" means the StratStack web application and all associated services.
- "Firm" means the consulting firm that holds the subscription.
- "Admin" means a user with administrative privileges for a Firm.
- "User" means any individual with an account on the Platform.
- "Client Organisation" means an organisation created within the Platform for analysis.
- "Content" means all data, text, files, and materials uploaded to or generated within the Platform.
3. Account Registration
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorised access.
4. Subscriptions and Payment
- Subscriptions are billed monthly in advance via Stripe.
- All prices are in GBP and exclude VAT, which will be added where applicable.
- Subscriptions renew automatically unless cancelled before the end of the billing period.
- You may change your plan or cancel at any time through the billing settings. Cancellations take effect at the end of the current billing period.
- Refunds are at our discretion and are not guaranteed.
- We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be honoured until the end of the current billing period.
5. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose.
- Upload malicious content, malware, or attempt to compromise Platform security.
- Share your account credentials with others.
- Attempt to reverse-engineer, decompile, or extract source code from the Platform.
- Use automated tools to scrape, crawl, or extract data from the Platform.
- Resell, sublicense, or redistribute Platform access without written consent.
6. Data Ownership
- Your Content: You retain ownership of all Content you upload to the Platform, including questionnaire responses, financial data, and uploaded documents.
- Generated Outputs: AI-generated outputs (framework analyses, reports, synthesis) created from your Content are owned by your Firm.
- Platform IP: The Platform, including its software, design, algorithms, and documentation, remains our intellectual property.
- Licence to Us: You grant us a limited licence to process your Content solely to provide the Platform services.
7. AI-Generated Content
The Platform uses AI to generate strategic analysis, framework outputs, and reports. All AI outputs are presented as editable drafts for professional review. We do not guarantee the accuracy, completeness, or suitability of AI-generated content. Consultants are responsible for reviewing and validating all outputs before delivery to clients.
8. Confidentiality
We treat all Content uploaded to the Platform as confidential. Content is isolated between Firms and is not shared across organisations. We will not access your Content except as necessary to provide the service, investigate security incidents, or comply with legal obligations.
9. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice. We are not liable for downtime caused by third-party providers, internet connectivity, or force majeure events.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Platform is provided "as is" without warranties of any kind.
- We are not liable for indirect, incidental, special, consequential, or punitive damages.
- Our total liability is limited to the fees paid by your Firm in the 12 months preceding the claim.
- We are not liable for decisions made based on AI-generated outputs.
11. Termination
Either party may terminate the agreement by cancelling the subscription. We may suspend or terminate access immediately if you breach these Terms. Upon termination, your data will be retained for 90 days to allow for export, after which it will be permanently deleted.
12. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice via email or in-app notification. Continued use of the Platform after the effective date constitutes acceptance.

Use of these frameworks within the platform does not imply endorsement by or affiliation with the framework creators or their organisations. All framework analyses are generated by StratStack's AI-assisted synthesis engine and reviewed by consulting professionals.
